Terms of Service
Terms governing access to Traseq accounts, workspaces, subscriptions, API keys, and research tools.
These Terms are a binding agreement between you and Traseq ("we," "us," or "our"). They govern your use of the Traseq website, APIs, workspaces, and all related services (the "Services"). If you use the Services on behalf of a company or team, you confirm you have authority to bind that entity.
1. Acceptance and Scope
By creating an account, accessing a workspace, generating an API key, using an AI feature, or otherwise using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Services.
2. Eligibility
You may use the Services only if all of the following are true:
- You are at least 18 years old (or the age of majority where you live).
- You can legally enter into a binding contract.
- You are not prohibited by any applicable law, sanctions, or export controls.
- Your use does not violate any law, regulation, exchange rule, or contractual restriction.
3. Accounts and Access Security
You are responsible for:
- Providing accurate, current account information.
- Keeping login credentials, one-time passcodes, session tokens, and API keys confidential.
- Promptly updating your account information when it changes.
- All activity under your account or workspace — except activity caused by our breach of these Terms or applicable law.
If you suspect unauthorized access or misuse, notify us immediately at support@traseq.com.
4. Workspaces and Administrative Control
Traseq is organized around workspace-level collaboration. Each workspace may contain strategies, versions, backtests, blocks, comparison sets, API keys, usage data, billing information, and member records.
If you are a workspace owner or admin, you are responsible for:

Workspace members may view, edit, export, or manage workspace data based on their assigned role.
5. Service Nature and Important Risk Disclosure
The Services are for research and operational support only. Nothing in the Services constitutes:
- Investment, trading, accounting, tax, or legal advice
- A recommendation to buy, sell, or hold any asset
- A guarantee that any strategy is suitable, profitable, or safe for live trading
- A promise that backtests, simulations, or other research outputs will match actual market results
Backtest and simulation limitations
Backtests, simulations, and hypothetical performance outputs do not reflect actual trading conditions — including slippage, latency, liquidity, execution quality, operational failures, or trader behavior in real markets.
Your responsibility
- Whether and how you use research outputs
- Verifying strategy logic, assumptions, parameters, and risk controls
- Complying with laws applicable to live trading, marketing, or investor communications
- Any decisions or losses resulting from use of the Services
6. Subscriptions, Billing, and Research Credits
Some Services require a paid subscription, seat allocation, or credit purchases.
For self-serve web purchases:

Research credits, usage allotments, seat limits, backtest limits, and API quotas may vary by plan. Purchased credits may be non-expiring; subscription-included allowances may reset each billing cycle.
We may change pricing or plan structure prospectively. Price changes will not apply retroactively to a period already paid.
7. Payment Providers
We use Paddle as Merchant of Record for web checkout, subscriptions, invoices, tax collection, and refunds. Your use of those payment flows is also subject to Paddle's Buyer Terms and privacy notices.
We do not store full payment card or equivalent credentials on our own systems when Paddle handles them.
8. API Keys and Integrations
You must:
- Store API keys as secrets
- Use the minimum role and scopes necessary
- Rotate or revoke compromised keys without delay
- Ensure third-party integrations using your keys comply with these Terms
You must not:
- Share API keys publicly
- Bypass scope, role, quota, or rate limits
- Use the API to scrape, mirror, or compete with the Services
- Probe or test the Service in a way that creates security or availability risks
- Use the API for unlawful surveillance, sanctions evasion, or credential abuse
We may suspend, rotate, revoke, or disable keys if we reasonably believe they create security, abuse, legal, or operational risk.
9. Customer Data, Content, and Feedback
You retain ownership of all strategies, prompts, notes, workspace metadata, uploaded assets, feedback text, and other content you submit ("Customer Data").
You grant Traseq a non-exclusive, worldwide, royalty-free license to use Customer Data only as necessary to:
- Provide, secure, maintain, and improve the Services
- Generate requested outputs (backtests, summaries, workflow results)
- Prevent abuse, fraud, and security incidents
- Comply with law and enforce these Terms
- Support and administer your workspace
Feedback: If you provide feedback, suggestions, or bug reports, we may use them without restriction or compensation.
You represent that you have all rights needed to submit Customer Data and that it does not violate law or third-party rights.
10. Acceptable Use Restrictions
You may not — and may not permit others to:
- Violate any law, regulation, court order, or third-party right
- Conduct or facilitate fraud, market manipulation, money laundering, or deceptive marketing
- Upload malware, exploit code, or harmful content
- Interfere with, disrupt, or overload the Services
- Reverse engineer or decompile the Services (except where prohibited by law)
- Bypass authentication, authorization, usage controls, or security measures
- Access another user's account or workspace without authorization
- Use automated means to extract data beyond the permitted API
- Build a competing service using substantial portions of our Services, outputs, or documentation
11. Third-Party Services and Content
The Services may interoperate with third-party providers (identity, payment, email, cloud, data, model, and infrastructure providers, etc.). We are not responsible for third-party products except as required by law. Their use is governed by their own terms.
12. Intellectual Property
The Services — including software, interfaces, branding, documentation, and compiled datasets — are owned by Traseq or our licensors.
We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business or personal research purposes. No other rights are granted.
13. Privacy
Our Privacy Policy describes how we collect, use, and disclose personal data — including for workspace administration, billing, authentication, security, research workflows, and legal compliance.
14. Availability, Changes, and Beta Features
- We may add, modify, suspend, or discontinue any part of the Services at any time.
- We do not guarantee uninterrupted availability.
- Beta, preview, or experimental features are provided "as is," may change materially, and may be discontinued at any time.
15. Suspension and Termination
We may suspend or terminate your access if:
- You breach these Terms
- Your use creates security, fraud, legal, or operational risk
- Required payments are overdue
- We are required by law or a competent authority
- Continued service is no longer commercially or technically feasible
You may stop using the Services at any time. Cancellation does not relieve you of payment obligations already incurred.
On termination, your right to use the Services ends immediately. Provisions that should survive (ownership, payment, disclaimers, liability limits, indemnity, disputes) will continue.
16. Disclaimers
To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranty from course of dealing.
We do not warrant that:
- The Services will be uninterrupted, secure, or error-free
- Any output, analysis, or backtest will be accurate or complete
- Defects will be corrected on any particular timeline
- The Services will meet your trading, compliance, or business objectives
17. Limitation of Liability
To the maximum extent permitted by law:
- No indirect damages. Traseq will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages — or for any loss of profits, revenues, goodwill, data, business opportunities, or trading losses.
- Liability cap. Our aggregate liability will not exceed the greater of the amounts you paid us in the 12 months before the event giving rise to the claim, or USD 100.
These limits apply regardless of the legal theory (contract, tort, negligence, strict liability, statute, or otherwise), even if we were advised such damages were possible.
Nothing here excludes liability that cannot be excluded under applicable law.
18. Indemnification
You will defend, indemnify, and hold harmless Traseq, its affiliates, and their directors, officers, employees, and agents from claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your Customer Data
- Your use of the Services
- Your violation of these Terms or applicable law
- Your infringement of any third-party right
19. Governing Law and Disputes
- Governing law: Laws of the Republic of China (Taiwan), excluding conflict of laws rules.
- Jurisdiction: Taipei District Court in Taiwan, exclusively — unless applicable law gives you a non-waivable right to bring claims elsewhere.
20. Changes to These Terms
We may update these Terms from time to time. Material changes will become effective on the stated date. If the law requires notice or consent, we will provide it through the Services, email, or other reasonable means.
Continued use after updated Terms become effective means you accept them.
